party a: shanghai futures exchange      (henceforth party a)

party b:                             (henceforth party b)

1. as is approved, party a agrees to provide a second floor trading seat for party b from the day of mm/dd/yyyy, which will expire on the last trading day of the last month of the very year.

2. party a provides the seat and relevant facilities for party b.

3. as from today, the trading, clearing and risk control of the rented seat will be managed together with the original seat of party b.

4. party b should enhance the management of the rented seat, and shall not subcontract it to other parties. once it is found out, party a is entitled to withdraw the seat.

5. the telephone rates of the rented seat will be covered by party b.

6. if party b rents the seat in the first half of the year, party a will charge party b a rent of twenty thousand yuan; if party b rents the seat in the second half of the year, party a will charge party b a rent of ten thousand yuan. if party b withdraws the rented seat before the expiry date, the rent will not be returned.

this agreement is in duplicate, each of which is kept respectively by party a and party b.
